Introduction - Scope of Application
The following Terms of Service (hereinafter referred as “Terms”) govern the legal relationship of all sales, delivery and services agreements between MD Skin Solutions S.à r.l. (hereafter referred as “MDSS”, “we” or “us”), a Luxembourg liability company governed by Luxembourg law and whose registered office is at 48, rue de Bragance L-1255 Luxembourg (Grand-Duchy of Luxembourg) and registered at the Luxembourg Trade and Companies Register under the number B148095 and the buyer as individual being consumer, in the sense of the article L. 010-1. of the Luxembourg Consumer Code, meaning buying the Meso’me products for purposes - that do not fall in the framework of her/his commercial, industrial or craft activity or in her/his liberal profession - and proposed by MDSS through the Meso’me website (hereinafter referred as the “Buyer”, or “you” and together with MDSS, collectively the “Parties” and individually a or one or the “Party”) in relation to any services provided on our website (“Services”) and any purchase of Meso’me product (hereinafter the “Product” or “Products”) made through the online shop website of MDSS and being accessible at the following address: www.shop.mesome.com (hereinafter the "Website"). These Terms also govern the use of the Website by any visitor.
ORDER OF THE PRODUCTS
The shop section of the Website mentions before the purchase order of the Products the following information :
- The identification of the name of the seller of the Products being MDSS, and its registered office address;
- The presentation of the essential characteristics of the Products offered for purchase;
- The indication, in Euros, of the precise price of the Products, as well as, where applicable, the delivery costs;
- The indication of the terms of payment or delivery of the ordered products;
- The delay in relation to the right of withdrawal (including the refund way of the paid amounts in case of withdrawal and the warranty and after sale conditions).
The representations and photographs of the Products available on the Website have no contractual value. MDSS makes its best efforts to ensure that they are as accurate and faithful to reality as possible, but it is possible that the actual rendering of the Products (in particular the colour, dimensions, textures and other characteristics) may differ slightly from that of the photographs appearing on the Website. This may be due to technical, photographic and computer reasons, for example because of the lighting when the photographs were taken and because of the resolution of the screens and the hardware or Internet browsers that you use when you visit the Website.
CONCLUSION OF THE CONTRACT
The contractual documents binding on the Parties shall consist of the purchase order of the Products made by the Buyer through this Website and the Terms proposed by MDSS and accepted by the Buyer (together the “Contract”).
The Terms can be consulted from any page of the Website.
MDSS proposals are made without obligation to buy the Products. The purchase of one or more Products is always a free and minded decision taken by the Buyer.
The Buyer acknowledges that he/she has the full legal capacity to read and understand the Terms, accept them and enter into the Contract.
MDSS reserves the right to modify at its own discretion these Terms at any time. The amended Terms will take effect on the date they are posted on the Website and are applicable to all orders placed on the Website from that date.
The Terms may be accepted, at the option of the Buyer, in any of the languages in which the Terms are available on this Website. The Buyer acknowledges that in case of discrepancies, inconsistencies or contradictions between the English version of the Terms and any other version of the Terms in another language both displayed or accessible on the Website, the English version of the Terms shall prevail and apply between the Parties.
The Website must indicate whether delivery restrictions apply and which methods of payment are accepted before the beginning of the order process.
The purchases of Products placed in full by the Buyer via the online shop accessible on the Website are carried out on the following stages :
- The Buyer visits the Website;
- The Buyer who wishes to buy some Products fills his/her basket of Products with the desired quantities. The Products which are out of stock can not be ordererd via the Website;
- The Buyer views his/her basket of Products selected once he/she has completed his/her selection. This allows the Buyer to modify his/her basket before validating it, if necessary;
- The Buyer validates his/her basket of Products;
- The Buyer fills in the information concerning his/her delivery details. The accuracy of the information, in particular the delivery address, is the sole responsibility of the Buyer. MDSS may not be held liable if errors or incomplete information have been provided by the Buyer and if, as a result, MDSS is unable to perform the order (in particular to deliver the Product ordered) under the conditions provided for;
- The Buyer is informed about the delivery method and the amount of the delivery, and validates the delivery method as the case may be;
- The Buyer selects his/her payment method between Amazon pay, Paypal or credit card:
- in case of payment via Amazon pay, the Buyer is redirected to Amazon Pay website and he/she will be asked to login with Amazon in order to make the payment;
- in case of payment via Paypal, the Buyer is redirected to Paypal website and he/she will be asked to login with Paypal in order to make the payment;
- in case of payment via credit card, the Buyer is redirected to the secure payment platform Stripe. The Buyer is required to insert his/her following details: credit card number, expiration date, security code and name on the said credit card. Afterwards, the Buyer clicks on “review order”; - For each mean of payment, the Buyer may read and must accept the Terms by ticking the box “I agree to the Terms of Service” before effectively making her/his purchase order of Products. Only after ticking the checkbox, the final click on “Pay now” will be possible. By clicking on the "order with an obligation to pay now" button at the end of the order process, the Buyer irrevocably declares that he/she accepts the order placed, accepts the resulting obligation to pay, the related delivery costs and the full and unreserved Terms applicable to this order. The Buyer's "double click" when validating the purchase order form constitutes an electronic signature which has the same value between the Parties as a handwritten signature. This step constitutes the formation of the Contract between the Parties.
- Finally, after his/her payment of the purchase order, the Buyer receives an automatic e-mail from MDSS confirming the said purchase order and summarizing the details of the purchase order of Products and the Products ordered and the withdrawal form provided in Appendix 1.
The Buyer may access his/her order if an account was created at any time by logging onto the Website and accessing the "My Account/Consult my orders" tab.
PRICES AND PAYMENT
Amount(s) to be paid
Prices of the Products are in euros (€) net, excluding VAT and do not take into account the shipping and/or any other costs which are invoiced in addition and indicated before the validation of the order by the Buyer.
The Buyer shall pay the total amount of the Products plus where applicable, all the import duties and taxes and all other fees which may apply for instance in the home country of the Buyer or in the delivery country of the ordered Products (all together the “Import Taxes and Fees”) on pain of being unable to receive the ordered Products and bearing alone the impossibility of receiving the ordered Products.
Outside the European Union, customs or import taxes can be added to the price of the ordered Products and are the responsibility of the Buyer. Therefore, it is in the sole responsibility of the Buyer to be informed of the amount to his/her local customs office. Within Europe, taxes will be included within the pricing and will be shown at the checkout.
The Buyer expressly acknowledges and accepts that no termination of the Contract will occur nor refund will be made by MDSS in case, where applicable (for instance but not exhaustively, for deliveries of ordered Products outside of the European Union), the Buyer has not paid the Import Taxes and Fees or has not received the Products due to the non-payment of the Import Taxes and Fees.
Payment platform
The Buyer’s total payment for purchase by credit card is processed via the Website through the platform payment Stripe.
MDSS entrusts the security of transactions to the service provider, Stripe. The payment is secured using the online payment system of Stripe. Payment security is based on the authentication of the Buyer, and on the confidentiality of all data. To ensure this security, Stripe uses proven cryptographic techniques and complies with the various banking regulations applicable in Luxembourg. Please refer directly to and see its own terms and conditions in order to have more details Privacy Policy (stripe.com). The bank details only appear in encrypted form, this means that they are coded in such a way that they cannot be understood and are therefore never held by MDSS. MDSS Website does not at any time have access to your credit card details.
The Buyer guarantees MDSS that it has the necessary authorisations to use the method of payment she/he has chosen when validating the purchase order form.
MDSS reserves the right to suspend all order processing and deliveries and/or unilaterally terminate the Contract after a certain deadline and in some circumstances for instance in the event of fraud or non-payment, but also in the event of refusal of authorisation of payment by the bank of the Buyer.
By using the Website and placing an order, the Buyer agrees :
- To place legal and valid purchase orders;
- Not to place any abusive, illegal or fraudulent orders of purchases. If MDSS can reasonably consider one abusive, illegal or fraudulent order of purchase have been placed, MDSS reserves the right to cancel the said order; and
- To provide MDSS with a correct and accurate email address, postal address and/or any other information. The Buyer also agrees that his/her details may be used by MDSS to contact him/her if necessary.

RIGHT OF WITHDRAWAL
The Buyer has the right to withdraw from the Contract without giving any reason. The withdrawal period expires fourteen (14) days after the day on which the Buyer, takes physical possession of the Products.
To exercise the right of withdrawal, the Buyer must notify MDSS either by post to the following address 48, rue de Bragance L-1255 Luxembourg, Grand-Duchy of Luxembourg, or by e-mail to the following address: mesome@pluryal.com, its decision to withdraw by means of an unambiguous statement. The Buyer may also use the form provided at the end of these Terms in Annex I.
In order for the withdrawal period to be respected, it is sufficient for the Buyer to send his/her communication concerning the exercise of the right of withdrawal before the expiry of the withdrawal period, specifying the desire to return the Product(s) under his/her right of withdrawal, indicating the nature of the Product(s), the date of order and the date of receipt. The Buyer may also attach his/her invoice or order form.
In the event that the right of withdrawal is exercised, the Buyer will be reimbursed for all payments made to MDSS, exclusive delivery costs (with the exception of additional costs arising from the fact that the Buyer has chosen a different delivery method, if applicable), (with the exception of any additional costs arising from the fact that the Buyer has chosen a delivery method other than the cheaper standard delivery method offered by MDSS) and with the exception of the direct costs of returning the ordered Products, without undue delay and, in any event, no later than fourteen (14) days from the date on which MDSS is informed of the Buyer's decision to withdraw from the Contract. MDSS will make the refund using the same mean of payment that the Buyer used for the initial transaction, unless the Buyer expressly agrees to a different mean. In any case, this refund will not entail any costs for the Buyer. MDSS may defer the refund until it has the Product(s) in its possession, or the Buyer has provided proof of shipment, whichever comes first.
The Buyer must return the Products to MDSS without undue delay and, in any event, no later than fourteen (14) days after the Buyer has communicated his decision to withdraw from the Contract. This period shall be deemed to have been observed if the Buyer returns the Product(s) before the expiry of the said period. The Buyer shall bear the direct costs of returning the Product(s). The Product(s) must be returned by registered post or equivalent to MDSS.
In the event of the exercise of the right of withdrawal, the Buyer has the choice of requesting either a refund of the sums paid or an exchange of the Product. In the case of an exchange, the return will be at the Buyer's expense. The Product must be returned properly protected, in its original packaging, in perfect condition for resale (not damaged or soiled), accompanied by any accessories and the instructions for use and documentation. The Buyer shall only be liable for the depreciation of the Product resulting from handling other than that necessary to establish the nature, characteristics and proper functioning of the Product. For this purpose, the Buyer shall only handle and inspect the Product in a manner that would also be permitted in a shop.
The use of the Buyer's right of withdrawal is subject to the provisions of the Luxembourg Consumer Code.
Please note that custom-made Products made to the Buyer's specifications or clearly personalised and the supply of sealed Products which cannot be returned for reasons of health or hygiene protection, and which have been unsealed by the Buyer after delivery are not subject to the right of withdrawal and may not be taken back or exchanged.
DELIVERY AND PARTIAL DELIVERIES
Delivery times
The purchase order of Products is confirmed and shipped upon full payment of the order at the address indicated as delivery details. The maximum delivery time is calculated from the picking-up of the parcel by the shipping company at MDSS’s warehouse or premises. MDSS must deliver the Products without undue delay but no later than thirty (30) days after the conclusion of the Contract. If MDSS fails to deliver the Products within the maximum period, the Buyer shall require MDSS to make the delivery within an additional period appropriate to the circumstances (for instance and not exhaustively, a force majeure event). If MDSS fails to make the delivery within the said additional period, the Buyer shall be entitled to terminate the Contract and be reimbursed.
Our delivery times are the following :
- For all orders placed from Monday to Friday before 12 noon (Continental European Time: “CET”), the order will be processed and delivered to the shipping company the same day.
- For all orders placed from Monday to Thursday after 12 noon (CET), the order will be processed and delivered to the shipping company the next day.
- For all orders placed from Friday after 12 noon (CET) to Sunday evening, the order will be processed and delivered to the shipping company the following Monday.
- For orders placed on public holidays in Luxembourg, the order will be processed and delivered to the shipping company the next working day in Luxembourg.
Shipping is handled by the company or delivery agents hired by MDSS (such as FedEx or any other shipping company chosen at its own discretion by MDSS).
During some period of times such as any MDSS commercial operation, our logistic department may encounter an important numerous of purchase orders to deal with. We will do our best efforts to inform you by any means (phone, email, etc.) in case of delay in the processing of your order.

Errors of delivery and conformity
At delivery, it is highly recommended to the Buyer to check the packaging of the delivered Products and notify to the shipping company all reserves on the packaging and where opportune, the state of the Products (for instance, parcel opened and /or damaged). In case the parcel would be damaged on delivery, the Buyer must check, when the shipping company is present, the state of the Products before signing the delivery form and precisely write on the delivery form any reservations in case of missing or damaged Product.
The Buyer must submit to MDSS, at the latest on the eight (8th) day following delivery, any claim relating to the error of delivery and/or any visible non-conformity or visible defect of the delivered Product, in kind or in quality, regarding the indications on the automatic confirmation e-mail of the order.
This complaint to MDSS may be made by means of the contact email address, clearly specifying the order reference and annexing pictures of the ordered Products grounding the claim.
Upon receipt of the complaint provided that the complaint is justified and completed, MDSS will assess the complaint and then be able to assign or not an exchange number for the Product(s) concerned, which it will then send by e-mail to the Buyer. The exchange of a Product can only take place after the Buyer has been given an exchange number in accordance with the above procedure.
In the event of a delivery or exchange error, any Product to be exchanged or refunded must not be used, still sealed and be returned in its entirety including its package to MD SKIN Solutions S.à r.l. 48, rue de Bragance L-1255 Luxembourg (Grand-Duchy of Luxembourg), in its entirety by POST Luxembourg, FEDEX, Colissimo Recommandé or equivalent.
To be acceptable, any return must also be reported with the purchase order number and name of the Buyer in advance to the MDSS's Customer Service Department at the following address mesome@pluryal.com.
Restrictions for delivery
MD Skin Solutions S.à r.l. does not enable delivery to any other countries than mentioned above, and the delivery is automatically restricted should either the shipping adress or the billing address contain a country that is not within the defined markets by the company.
RETENTION OF TITLE AND TRANSFER OF RISKS
MDSS remains the exclusive and sole owner of the Products until the receipt by MDSS of the full payment by the Buyer of the ordered Products. The ordered Products cannot validly be pledged by the Buyer or given as security by the Buyer until the receipt by MDSS of the full payment by the Buyer of the ordered Products or the confirmation email of order has been sent to the Buyer.
Risks of loss or damage of the Products are automatically transferred from MDSS to the Buyer when the Buyer takes physical possession of the Products. The risk is transferred to the Buyer on delivery of the Products to the carrier or shipping company where the carrier or the shipping company has been entrusted with the transport of the Products by the Buyer and the choice has not been offered by MDSS, without prejudice to the Buyer as consumer's rights against the carrier or the shipping company.
LIABILITY
Any legal liability MDSS may have incurred shall be only limited to direct damages.
MDSS shall not be liable for any misuse of the Product and/or for any use that does not comply with the instructions in the Product's user manual. Furthermore, the Buyer must respect the maximum use-by date.
GUARANTEES
The Buyer benefits from the legal warranties of conformity and hidden defects, in accordance with the governing Luxembourg legal provisions in force.
Legal guarantee of conformity
MDSS is bound by a legal guarantee of conformity in accordance with the articles L. 212-2. to L. 212-9. of the Luxembourg Consumer Code :
- The Buyer may take action within two years of delivery of the Product(s);
- The Buyer shall be entitled, under the conditions set out in the article L. 212-6. and following of the Luxembourg Consumer Code,
- To have the Product brought into conformity. The Buyer may choose between repairing or replacing the Product, without cost or major inconvenience to the Buyer within a reasonable period of time, subject to the cost conditions set out in article L. 212-6 (2) and (3) of the Luxembourg Consumer Code;
- To have the price reduced proportionately; or
- To have the Contract rescinded, if the defect is major.
Defects in conformity that appear within 12 months of delivery of the Product are presumed to have existed at that time unless the trader proves otherwise. If the defects appear more than 12 months but less than 2 years after delivery of the Product, the legal guarantee of conformity still applies, but it will be up to the Buyer to prove the existence of the lack of conformity at the time of delivery of the Product in order to benefit from this legal guarantee.
Legal guarantee against hidden defects
The Buyer may decide to invoke the legal guarantee against hidden defects in the Product sold within the meaning of Article 1641 of the Luxembourg Civil Code. In this case, the Buyer may choose between
- Returning the Product and having the price refunded and MDSS is required to pay damages based on Article 1645 of the Luxembourg Civil Code, or
- Keeping the Product and have part of the price returned to him/her, as determined by experts, in accordance with Article 1644 of the Luxembourg Civil Code. The Buyer must inspect and check the Products for defects immediately as soon as they are delivered to her/him.
DATA PROTECTION
MDSS undertakes to do its best efforts to ensure the protection of the Website’s visitors and the Buyers' personal data collected through the Website.

INTELLECTUAL PROPERTY RIGHTS
The Buyer acknowledges and agrees that all copyrights, registered trademarks and any other intellectual property rights in relation to the Products materials or contents provided on or as part of the Website are exclusively owned by MDSS at all times or to those who grant license to MDSS for their use. The Buyer may use said material only to the extent that MDSS or the usage licensors authorize it expressly.
Any commercial or non-commercial exploitation, in particular any downloading, copying, reproduction, distribution, transmission, broadcasting, adaptation, translation or representation, in whole or in part, of the Website or content of the Website, by any means or process now or in the future, without the prior written authorization of MDSS is prohibited and would constitute, in particular, a counterfeiting offence.
The reproduction of all or part of the Website contents is authorised solely for the purposes of information for personal and private use, any reproduction and any use of copies made for other purposes in any manner whatsoever and in any form whatsoever being expressly prohibited.
NON WAIVER
The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver by MDSS of such right or provision.
These Terms and any policies or operating rules posted by us on this Website or in respect to the Services constitutes the entire agreement and understanding between you and us and governs your use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms).
NOTICES
All notices, requests, demands, and other communications hereunder shall be deemed to have been duly given and made if in writing and if delivered by email, or upon signed acknowledgement or receipt, to address set forth at the beginning of the Contract, or such other address as may be designated in writing.
SEVERABILITY - INDEPENDENCE OF THE PROVISIONS OF THE TERMS
If one or more provisions of these Terms are held to be invalid or declared as such in application of a law, a regulation, following a final decision of a competent court or other rule of law, the other provisions shall retain all their force and scope.
GOVERNING LAW, MEDIATION AND COMPETENT JURISDICTION
The present Terms, the purchase orders of Products made through the Website and the Contract are governed by and shall be construed in accordance with the law of the Grand-Duchy of Luxembourg, irrespective of the country of habitual residence of the Buyer, subject, for the Buyers who habitually reside outside Luxembourg but in a Member State of the European Union other than Luxembourg, to the application of the law of the Member State of the Buyer's habitual residence, which may not be derogated from by agreement.
The United Nations Convention on Contracts for the International Sale of Goods, adopted on 11 April 1980 and entered into force on 1 January 1988, shall not apply.
The Parties undertake to seek an amicable settlement to the prelitigation or dispute relating to the these Terms or the Contract before starting any legal action or resorting to a mediation procedure.
In the event that a written complaint by the Buyer to MDSS's customer service department fails, or in the absence of a response from this department within a reasonable period of one (1) month, the Buyer may have recourse to any alternative dispute resolution method and in particular to a mediation procedure by contacting the following mediator :
National Consumer Ombudsman Service

The Buyer remains free to accept or refuse recourse to mediation and, in the event of recourse to mediation, each Party is free to accept or refuse the solution proposed by the mediator.
Participation in the mediation procedure does not exclude the possibility of bringing an action through the legal proceedings.
In a such case, any dispute relating to these Terms or the Contract shall be, unless an amicable settlement is reached or a mediation procedure is implemented in the above mentioned conditions, exclusively submitted to and settled by the Courts of Luxembourg City (Grand-Duchy of Luxembourg), and even in the event of summary proceedings, guarantee call or multiple defendants, without prejudice for the Buyer as consumer to bring an action before the ordinary Courts.
